Fulfillza Terms of Service

1. Definitions

"Fulfillza," "we," "our," or "us" means the provider and operator of the Fulfillza Service.

"Subscriber" means the 3PL, prep center, fulfillment provider, warehouse operator, or other business that registers for or subscribes to Fulfillza.

"Company Admin" means a user authorized to administer a Subscriber's Fulfillza account.

"Authorized User" means any Company Admin, Warehouse Admin, manager, supervisor, employee, worker, contractor, or other person given access to a Subscriber's account.

"Client" means a customer of a Subscriber whose products, inventory, orders, shipments, billing, or other operations may be managed through Fulfillza.

"Client User" means a Client or a user authorized by a Client to access the Client-facing portions of Fulfillza.

"Subscriber Data" means information, records, files, content, products, inventory information, order data, Client information, shipment information, pricing, documents, images, labels, and other data submitted to or processed through the Service on behalf of a Subscriber.

2. Business Use

Fulfillza is a business-to-business software platform intended for legitimate commercial use by fulfillment companies, prep centers, 3PL operators, warehouses, and related businesses.

You may not register for or use Fulfillza for unlawful, fraudulent, deceptive, abusive, or unauthorized activity.

A person creating an account on behalf of a business represents that the person is at least 18 years old, has authority to act on behalf of the business, has provided accurate information, and has authority to enter into agreements concerning the business's use of Fulfillza.

3. Registration and Account Approval

Registration or submission of an application does not guarantee approval or unrestricted production access.

Fulfillza may review information provided during registration and may approve an application, reject an application, request additional information, request business or identity verification, limit an account while verification is pending, or require additional verification before enabling particular functionality.

You agree to provide accurate, current, and complete information and to promptly update material information that changes.

Fulfillza may decline or discontinue service when reasonably necessary to protect the Service, other users, payment systems, carriers, partners, or Fulfillza from fraud, misuse, legal risk, security risk, or financial loss.

4. Subscriber Account Responsibility

The Subscriber is responsible for administration of its organization within Fulfillza, including Company Admin accounts, Warehouse Admin accounts, employees, contractors, warehouses, Clients, Client Users, permissions, pricing and billing settings, prepaid or postpaid Client settings, marketplace connections, and actions performed through accounts the Subscriber has authorized.

The Subscriber must use reasonable safeguards to protect credentials and must promptly remove or restrict users who should no longer have access.

The Subscriber may not knowingly grant a user access to data, warehouses, Clients, financial information, or functions that the user is not authorized to access.

The Subscriber is responsible for obtaining any authorization, consent, or legal basis required to enter, upload, manage, or process information concerning its Clients, Client Users, employees, shipment recipients, or other third parties through Fulfillza.

5. Client Screening, Fraud Prevention, and Shipping-Label Integrity

The Subscriber is responsible for conducting commercially reasonable screening, verification, and ongoing monitoring of its Clients, Client Users, products, orders, shipment information, payment activity, and shipping-label activity, including investigation of suspicious or high-risk activity before processing orders or purchasing, uploading, or using labels through the Service.

The Subscriber must not knowingly process, support, conceal, or ignore activity involving fake shipping labels, counterfeit postage, unauthorized labels, stolen or unauthorized payment methods, stolen or counterfeit goods, deceptive order activity, reshipping fraud, triangulation fraud, unlawful goods, or activity that may harm carriers, payment providers, marketplaces, Fulfillza, other users, or third parties.

Fulfillza may request business records, proof of authorization, invoices, shipment records, marketplace records, payment documentation, identity or business verification, or other reasonable information when needed to investigate fraud, abuse, carrier issues, payment risk, marketplace complaints, chargebacks, legal concerns, or platform misuse.

The Subscriber agrees to cooperate with investigations by Fulfillza, payment processors, carriers, marketplaces, law enforcement, or other affected parties where reasonably necessary and legally appropriate.

Fulfillza may suspend, restrict, disable, or terminate access to accounts, labels, payments, credits, integrations, or other functionality when activity presents fraud, carrier, marketplace, payment, security, legal, or platform risk.

6. Service Functionality

Fulfillza may provide functionality relating to warehouse management, fulfillment and prep-center operations, inventory and storage, product management, receiving and inbound shipments, FBM, FBA, WFS, TTS, forwarding, returns, removals, counting, orders, work queues, shipping quotes, shipping-label purchases, tracking, invoices, payments, account credit, shipping credit, permissions, Client portals, reports, marketplace integrations, imports, and related fulfillment-management activities.

Features may differ according to subscription level, configuration, role, permissions, integration availability, carrier availability, geographic coverage, or technical readiness.

Fulfillza may add, modify, suspend, replace, or discontinue particular functionality where reasonably necessary to operate, secure, maintain, or improve the Service.

7. Subscription, Trials, and Recurring Billing

Paid access to Fulfillza may require a recurring subscription. The applicable subscription amount, billing interval, warehouse charges, plan terms, and other pricing information presented through the Service at the time of purchase or subscription form part of your agreement with Fulfillza.

Unless otherwise stated when purchasing a plan, subscription billing may continue on a recurring basis until the subscription is canceled, terminated, or otherwise made inactive.

Fulfillza may offer trials, promotional access, credits, discounts, or other introductory arrangements. If a trial or promotional offer is made available, the duration, eligibility, included functionality, pricing, and any conversion to paid service will be disclosed in connection with that offer.

For the public registration offer, approved subscribers receive 7 days of free access. To continue after the trial, the Subscriber must add a payment method from Account > Subscription. The first paid month is billed at $1, and regular approved subscription pricing applies after that promotional month unless the subscription is canceled, terminated, or otherwise made inactive.

Subscription billing can be managed or canceled from Account > Subscription or through Fulfillza support. Fulfillza may also provide required renewal, price-change, or promotional-ending notices when required by applicable law.

A trial does not create a right to continued free access. Fulfillza may restrict abuse of trials, duplicate promotional accounts, fraudulent registrations, or attempts to avoid subscription charges.

8. Stripe and Payment Processing

Fulfillza uses Stripe for certain payment-processing functionality. Payment transactions may also be governed by applicable Stripe terms and policies.

Fulfillza may receive payment-related identifiers, transaction statuses, payment-method details made available by Stripe, and other information required to provide billing functionality without directly storing complete card or bank account credentials.

Subscription payments owed by the Subscriber to Fulfillza are platform-level billing transactions.

Where a Subscriber uses Fulfillza's connected Stripe functionality for its Clients, Client account-credit payments, invoice payments, and supported order-payment transactions may be processed through the Subscriber's connected Stripe account. These transactions relate to the commercial relationship between the Subscriber and its Client.

Fulfillza shipping-label credit is separate from Subscriber-controlled Client account credit. Shipping-label credit may be processed through Fulfillza's platform payment infrastructure and is used for supported shipping-label transactions through the Service.

9. Card Processing Fees, ACH, and Account Credit

Certain card transactions through the Service may include a separately disclosed card-processing fee. Where such a fee applies, the amount or estimated amount will be presented in connection with the transaction.

Bank payments may require verification and may remain pending or processing for multiple business days. A pending, processing, unverified, canceled, or failed ACH transaction does not create available account credit.

Account credit becomes usable only after the applicable payment has been successfully confirmed through the payment-processing workflow.

Where Fulfillza offers promotional or bonus account credit, the eligibility and amount displayed by the Service at the time of the applicable transaction will govern that credit. Promotional or bonus account credit is not necessarily equivalent to cash and does not create an independent cash claim unless required by law or expressly stated by Fulfillza.

10. Prepaid Orders

A Subscriber may configure some or all Clients to operate on a prepaid basis. Where prepaid billing applies, sufficient confirmed account credit may be required before an applicable order can proceed.

The Service may debit account credit, create invoice records, return credit following an eligible cancellation, or otherwise maintain financial records associated with prepaid transactions.

The Subscriber is responsible for configuring prepaid and postpaid settings appropriately for its Clients.

11. Shipping Labels and Carrier Services

Carrier rates, delivery estimates, service availability, adjustments, surcharges, address rules, package restrictions, claims, and other carrier matters remain subject to the applicable carrier or shipping provider.

Displayed rates may be based on information available when a quote is created and may differ from a carrier's final billed amount. Carriers may assess post-purchase adjustments based on weight, dimensions, address information, service changes, package characteristics, or other carrier rules.

The Subscriber is responsible for accurate shipment information. Fulfillza may debit, credit, or adjust shipping-credit balances to reflect valid carrier adjustments where supported.

Fulfillza may restrict additional label purchases when an account has insufficient shipping credit or unresolved shipping-related amounts.

12. Third-Party Services and Integrations

Fulfillza may integrate with third parties including payment processors, carriers, marketplaces, ecommerce platforms, import providers, and other technology services.

Use of third-party services may be subject to separate agreements between you and the applicable provider. Fulfillza is not responsible for outages, policies, decisions, service limitations, approval requirements, API changes, data errors, or acts of independent third-party providers.

You authorize Fulfillza to exchange data with a third-party service when reasonably necessary to perform an integration that you or an authorized user enables.

13. Subscriber and Client Data

As between Fulfillza and the Subscriber, the Subscriber retains its rights in Subscriber Data. The Subscriber grants Fulfillza permission to host, copy, transmit, process, organize, display, transform, and otherwise use Subscriber Data as reasonably necessary to provide the Service, fulfill requested functionality, process transactions, produce labels and documents, perform integrations, provide customer support, maintain security, prevent fraud and abuse, maintain operational and audit records, troubleshoot technical issues, improve Service reliability, and comply with applicable law.

Fulfillza may process submitted business, user, Client, shipment, order, payment-status, and support information as reasonably necessary to operate the Service, prevent fraud and abuse, protect carriers and payment systems, maintain audit records, and comply with legal obligations.

Fulfillza does not acquire ownership of a Subscriber's underlying business records merely because those records are processed through the Service.

14. Data Accuracy

Fulfillza depends on information submitted by Subscribers, Authorized Users, Clients, integrated services, payment providers, marketplaces, and carriers.

The Subscriber is responsible for reviewing information used in its fulfillment operations. Fulfillza is not responsible for consequences caused by inaccurate, incomplete, outdated, or incorrectly submitted business data, including incorrect product information, SKU information, inventory quantities, package dimensions or weight, addresses, order information, Client instructions, billing settings, or shipping information, except to the extent directly caused by a malfunction of the Service for which applicable law does not permit responsibility to be excluded.

15. Acceptable Use

You may not use the Service to violate applicable law, facilitate fraud or theft, impersonate another person or business, use stolen or unauthorized payment information, obtain unauthorized access, circumvent role or permission restrictions, interfere with Service security, upload malicious software, abuse carriers, marketplaces, payment providers, or integrations, conceal the true identity of a business or transaction, infringe third-party rights, or use the Service in a manner reasonably likely to cause financial, security, regulatory, or operational harm.

16. Security

Fulfillza uses administrative, technical, and operational safeguards designed to protect the Service and Subscriber Data. No internet-based system can be guaranteed to be completely secure.

Subscribers must maintain appropriate internal security practices, including protecting credentials, managing user access, reviewing permissions, and promptly reporting suspected unauthorized access.

You must notify Fulfillza promptly if you believe an account, credential, payment method, integration, or connected service has been compromised.

17. Suspension and Restricted Access

Fulfillza may suspend, limit, or restrict access when reasonably necessary because of unpaid subscription amounts, payment-required status, canceled or inactive subscription status, suspected fraud, unauthorized payment activity, abuse, security threats, violation of these Terms, legal or regulatory requirements, risk to Fulfillza, a Subscriber, Client, carrier, payment provider, marketplace, or other third party, or material misuse of the Service.

When an account is billing-locked, access may be restricted to subscription-management and logout functionality. Fulfillza may require payment, verification, remediation, or additional information before restoring access.

18. Cancellation and Termination

A Subscriber may cancel its subscription through Account > Subscription or other support methods made available by Fulfillza. Cancellation prevents the Subscriber from relying on continued active service and may result in restricted access when the cancellation becomes effective.

Cancellation does not automatically reverse charges already incurred, completed transactions, carrier charges, payment-processing charges, outstanding invoices, adjustments, or other amounts properly due.

Fulfillza may terminate or permanently disable an account for material breach, fraudulent activity, repeated abuse, serious security risk, unlawful use, or other circumstances in which continued service would create unreasonable risk.

19. Data Following Termination

Termination or cancellation does not require Fulfillza to immediately erase every record associated with an account. Fulfillza may retain information reasonably necessary for transaction history, accounting, payment records, tax obligations, fraud prevention, security, dispute resolution, audits, enforcement of agreements, backups, legal obligations, and legitimate operational recordkeeping.

Subscribers are responsible for exporting information they require for their own operations before losing access where export functionality is available.

20. Intellectual Property and Feedback

Fulfillza and its licensors retain all rights in the Service, including software, code, interfaces, workflows, designs, branding, documentation, trademarks, and other proprietary materials. These Terms do not transfer ownership of Fulfillza intellectual property.

Subject to these Terms and payment of applicable fees, Fulfillza grants the Subscriber a limited, non-exclusive, non-transferable right to use the Service for the Subscriber's internal business operations during the period in which access is authorized.

If you voluntarily provide suggestions, ideas, or feedback regarding Fulfillza, you permit Fulfillza to use that feedback without restriction or obligation to compensate you.

21. Confidentiality and Availability

Each party may receive nonpublic business or technical information from the other. The receiving party should use reasonable measures to protect confidential information and should use it only for purposes connected with the Service or the parties' business relationship.

Fulfillza seeks to provide reliable service but does not guarantee uninterrupted or error-free availability. The Service may be temporarily unavailable because of maintenance, infrastructure failures, payment-provider outages, carrier outages, marketplace outages, internet failures, security events, updates, or circumstances outside Fulfillza's reasonable control.

22. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available."

Fulfillza disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade to the extent such warranties may legally be disclaimed.

Fulfillza does not guarantee that every carrier rate, marketplace connection, third-party integration, payment method, import, or external service will always be available or error-free.

23. Limitation of Liability

To the maximum extent permitted by law, Fulfillza will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost revenue, lost business opportunities, or loss of goodwill, arising out of or relating to the Service.

To the maximum extent permitted by law, Fulfillza's aggregate liability arising from or relating to the Service will not exceed the amount of subscription fees actually paid by the Subscriber to Fulfillza during the twelve months preceding the event giving rise to the claim.

These limitations do not apply to liability that cannot legally be limited or excluded.

24. Subscriber Indemnification

To the extent permitted by law, the Subscriber agrees to defend, indemnify, and hold Fulfillza harmless from third-party claims, losses, damages, liabilities, penalties, and reasonable costs arising from Subscriber Data, the Subscriber's fulfillment services, products handled by the Subscriber, the Subscriber's relationship with its Clients, acts of Authorized Users, inaccurate shipment, product, inventory, or billing information submitted by the Subscriber, unlawful or unauthorized use of the Service by the Subscriber, violation of third-party rights, or the Subscriber's material violation of these Terms.

This obligation does not apply to the extent a claim is caused by Fulfillza's own unlawful conduct or responsibility that cannot legally be shifted to the Subscriber.

25. Changes to These Terms

Fulfillza may update these Terms as the Service, legal requirements, payment functionality, integrations, or business practices change. The updated Terms will identify their effective date.

Where required by law or appropriate because of a material change, Fulfillza may provide additional notice or require renewed acceptance.

Continued use of the Service after updated Terms become effective constitutes acceptance to the extent permitted by law.

26. Electronic Communications and General Terms

You consent to receive notices and transactional communications electronically, including through the Service, account notifications, and contact information associated with your account. Electronic acceptance of these Terms has the same effect as a signed written agreement to the extent permitted by law.

If any provision of these Terms is found unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver of the right to enforce it later.

The Subscriber may not transfer its rights or obligations in a manner that would transfer control of a Fulfillza account to an unauthorized party without Fulfillza's consent. Fulfillza may assign or transfer these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, or similar business transaction.

These Terms, together with any applicable plan, order, policy, or supplemental terms displayed through the Service, constitute the agreement governing use of Fulfillza.
